1. Điều khoản chung:

Người hoặc Doanh nghiệp đăng ký sử dụng nền tảng (sau đây được gọi là “Người Sử Dụng”) chỉ có thể truy cập và sử dụng Dịch vụ cho các hoạt động kinh doanh nội bộ của mình và tuân theo Thoả Thuận, bao gồm khả năng Người Sử Dụng có thể:
(a) Xem, sao chép, in và/hoặc tải xuống Nội dung;
(b) Tạo các sản phẩm phái sinh từ hoặc thông qua việc sử dụng Nội dung và cung cấp các sản phẩm phái sinh đó cho Người Sử Dụng. Tất cả các Dịch vụ do Người Sử Dụng yêu cầu đều do nền tảng Trade Data Vietnam hoặc người cấp phép của Trade Data Vietnam cung cấp và tuân theo Thỏa thuận, bao gồm cả Chính sách này.

2. Tính thay đổi của nền tảng:

Trong thời hạn sử dụng, nền tảng Trade Data Vietnam có quyền sửa đổi hoặc ngừng Dịch vụ, bao gồm thêm, xóa, thay đổi các tính năng hoặc chức năng, tùy từng thời điểm để phản ánh các thay đổi, bao gồm nhưng không giới hạn, về luật hiện hành, các quy định , quy tắc, công nghệ hoặc tính sẵn có của dữ liệu. Trade Data Vietnam sẽ thông báo cho Người Sử Dụng về bất kỳ thay đổi quan trọng nào đối với khả năng truy cập hoặc sử dụng Dịch vụ của Người Sử Dụng hoặc việc ngừng cung cấp bất kỳ Dịch vụ nào.

3. Quyền hạn của Trade Data Vietnam:

Nền tảng Trade Data Vietnam theo đây cấp cho Người Sử Dụng quyền giới hạn có thể hủy bỏ, không độc quyền và không thể chuyển nhượng để sử dụng Dịch vụ chỉ cho các hoạt động kinh doanh nội bộ của Người Sử Dụng trong thời hạn sử dụng, bao gồm khả năng Người Sử Dụng:
(a) Xem, sao chép , in và/hoặc tải xuống Nội dung;
(b) Tạo các sản phẩm phái sinh từ hoặc thông qua việc sử dụng Nội dung và cung cấp các sản phẩm phái sinh đó cho Người Sử Dụng. Giữa Trade Data Vietnam và Người Sử Dụng, Trade Data Vietnam và người cấp phép của nó giữ lại tất cả quyền sở hữu và quyền sở hữu trí tuệ trong và đối với Dịch vụ, bao gồm Nội dung có trong bất kỳ sản phẩm phái sinh nào do Người Sử Dụng tạo ra và/hoặc bất kỳ thứ gì được phát triển hoặc phân phối bởi hoặc thay mặt cho Trade Data Vietnam theo Thoả Thuận. Không nội dung nào trong tài liệu này được hiểu là trao cho Người Sử Dụng, dù rõ ràng hay ngụ ý, quyền sở hữu trí tuệ trong và đối với Dịch Vụ

4. Hạn chế trong Sử dụng:

Bằng cách truy cập hoặc sử dụng các dịch vụ do Trade Data Vietnam cung cấp, Người Sử Dụng đồng ý tuân theo các giới hạn và hạn chế sử dụng sau đây. Những hạn chế này áp dụng cho người đăng ký, người sử dụng được chỉ định của họ và bất kỳ bên thứ ba nào truy cập hoặc sử dụng dịch vụ của Trade Data Vietnam.
(a) Đánh dấu chương trình và dịch vụ: Người Sử Dụng không được xóa hoặc sửa đổi bất kỳ nhãn hiệu hệ thống hoặc nhãn hiệu dịch vụ, hoặc thông báo độc quyền nào của chương trình hoặc dịch vụ thuộc về Trade Data Vietnam, nhà phân phối hoặc người cấp phép của nền tảng.
(b) Sử dụng nhãn hiệu: Người Sử Dụng không được sử dụng nhãn hiệu của Trade Data Vietnam mà không có sự đồng ý trước bằng văn bản.
(c) Sửa đổi và Kỹ thuật đảo ngược: Người Sử Dụng không được sửa đổi, tháo rời, dịch ngược, đảo ngược kỹ thuật, sao chép, tái xuất bản, sao chép hoặc tạo tác phẩm phái sinh của bất kỳ phần nào của cơ sở hạ tầng.
(d) Đóng khung và sao chép: Người Sử Dụng không được “đóng khung” hoặc “sao chép” bất kỳ dịch vụ nào được cung cấp qua Internet.
(e) Đo điểm chuẩn và kiểm tra: Người Sử Dụng không được thực hiện hoặc tiết lộ việc đo điểm chuẩn, quét lỗ hổng, bẻ khóa mật khẩu, thâm nhập, kiểm tra tính khả dụng hoặc kiểm tra hiệu suất của dịch vụ mà không có sự cho phép rõ ràng.
(f) Can thiệp và vận hành đúng cách: Người Sử Dụng không được sử dụng bất kỳ thiết bị, phần mềm hoặc quy trình nào có thể gây tổn hại hoặc cản trở hoạt động bình thường của dịch vụ, bao gồm thu thập dữ liệu của Trade Data Vietnam, đánh cắp, bán lại dữ liệu của Trade Data Vietnam hoặc chia sẻ tài khoản trái phép.
(g) Vận hành dịch vụ: Người Sử Dụng không được ngăn cản hoạt động của các dịch vụ, bao gồm nhưng không giới hạn ở việc tham gia vào các cuộc tấn công từ chối dịch vụ, kéo dài thời lượng phiên hoặc thực hiện các truy vấn tìm kiếm mà Trade Data Vietnam, theo quyết định riêng của mình, xác định một cách hợp lý là lạm dụng.
(h) Sản phẩm và dịch vụ cạnh tranh: Người Sử Dụng không được phát triển, hoặc hỗ trợ bên thứ ba phát triển các sản phẩm hoặc dịch vụ cạnh tranh trực tiếp với dịch vụ của Trade Data Vietnam.
(i) Khai thác thương mại: Người Sử Dụng không được cấp phép bán lại, chuyển nhượng, phân phối, thuê ngoài, chia sẻ thời gian sử dụng dịch vụ, khai thác thương mại hoặc cung cấp dịch vụ cho bên thứ ba, bao gồm mọi tài liệu do dịch vụ tạo ra .
(j) Sử dụng trái pháp luật: Người Sử Dụng không được truy cập hoặc sử dụng các dịch vụ theo cách nhằm quấy rối hoặc gây thiệt hại hoặc thương tích cho bất kỳ người hoặc tài sản nào, vi phạm quyền riêng tư, quyền thoả thuận hoặc tài sản của bên thứ ba, vi phạm pháp luật, pháp lệnh hoặc quy định hiện hành , hoặc truy cập hay sử dụng dịch vụ cho bất kỳ mục đích nào khác ngoài mục đích được Thỏa thuận cho phép rõ ràng. Việc vi phạm các điều khoản và hạn chế này có thể dẫn đến hành động pháp lý cũng như chấm dứt quyền truy cập vào các dịch vụ Trade Data Vietnam. Người Sử Dụng phải tuân thủ các quy định này để đảm bảo việc sử dụng dịch vụ hợp pháp và hợp lệ.

5. Tuyên bố miễn trừ trách nhiệm:

Trade Data Vietnam không thể đảm bảo tính khả dụng, cung cấp, chất lượng, độ chính xác, tính toàn vẹn hoặc độ tin cậy của các dịch vụ và các dịch vụ đó được cung cấp “nguyên trạng”. Trade Data Vietnam không đảm bảo rằng các dịch vụ sẽ không có lỗi hoặc không bị gián đoạn hoặc các dịch vụ sẽ đáp ứng mong đợi hoặc yêu cầu của Người Sử Dụng. Ngoại trừ phạm vi bị pháp luật cấm, Trade Data Vietnam, nhà phân phối và người cấp phép của nó từ chối mọi bảo đảm, bao gồm mọi bảo đảm rõ ràng hay ngụ ý hoặc điều kiện về khả năng bán được, chất lượng thỏa đáng, sự hợp lệ, phù hợp cho một mục đích cụ thể phát sinh từ bất kỳ quá trình giao dịch hoặc sử dụng với mục đích thương mại.

6. Giới hạn trách nhiệm:

Trong mọi trường hợp, Trade Data Vietnam, nhà phân phối và/hoặc người cấp phép của nền tảng sẽ không chịu trách nhiệm pháp lý đối với Người Sử Dụng hoặc bất kỳ bên nào khác về các thiệt hại gián tiếp, ngẫu nhiên, do hậu quả, đặc biệt, trừng phạt hoặc để làm gương, hoặc bất kỳ tổn thất nào về doanh thu, lợi nhuận, kinh doanh, dữ liệu, việc sử dụng dữ liệu, danh tiếng (ngay cả khi những thiệt hại đó có thể thấy trước hoặc khi Trade Data Vietnam đã được thông báo hoặc có kiến thức về khả năng xảy ra những thiệt hại đó). Hơn nữa, Trade Data Vietnam, nhà phân phối và/hoặc người cấp phép của nền tảng sẽ không chịu trách nhiệm cho bất kỳ khoản bồi thường, bồi hoàn hoặc thiệt hại nào phát sinh liên quan đến:
1. Người Sử Dụng không thể sử dụng hoặc truy cập dịch vụ do:
(a) Đình chỉ hoặc chấm dứt của thỏa thuận;
(b) Quyết định không sử dụng dịch vụ của Người Sử Dụng;
(c) Trade Data Vietnam ngừng cung cấp bất kỳ hoặc tất cả các dịch vụ;
(d) Sự kiện bất khả kháng;
2. Chi phí mua sắm hàng hóa hoặc dịch vụ thay thế;
3. Bất kỳ khoản đầu tư, chi phí hoặc cam kết nào của Người Sử Dụng liên quan đến thoả thuận.
Trong mọi trường hợp, trách nhiệm pháp lý chung của Trade Data Vietnam, nhà phân phối và/hoặc người cấp phép của Trade Data Vietnam phát sinh từ hoặc liên quan đến thoả thuận, cho dù trong thoả thuận, ngoài thoả thuận hay cách khác, vượt quá tổng số tiền thực tế mà Người Sử Dụng đã trả cho các dịch vụ theo thỏa thuận làm phát sinh trách nhiệm pháp lý trong mười hai (12) tháng ngay trước sự kiện làm phát sinh trách nhiệm pháp lý đó.

7. Bồi thường:

Nếu một bên thứ ba khiếu nại Trade Data Vietnam phát sinh từ hoặc liên quan đến:
(a) Bất kỳ hành vi vi phạm thoả thuận hoặc vi phạm pháp luật hiện hành nào của Người Sử Dụng;
(b) Bất kỳ Tài liệu nào được cung cấp bởi Người Sử Dụng cho bên thứ ba không đúng thoả thuận, cho dù nói chung hay kết hợp với Dịch vụ;
(c) Bất kỳ tranh chấp nào xảy ra giữa Người Sử Dụng với bên khác do Người Sử Dụng vi phạm thoả thuận, với chi phí và phí tổn thất của Người Sử Dụng, Người Sử Dụng thì sẽ bảo vệ Trade Data Vietnam trước khiếu nại và bồi thường cho Trade Data Vietnam cũng như nhân viên, cán bộ và giám đốc của họ về mọi thiệt hại, trách nhiệm pháp lý, chi phí và phí tổn (bao gồm bất kỳ khoản phí luật sư hợp lý nào) do tòa án trao cho nguyên đơn bên thứ ba hoặc giải quyết đã được Người Sử Dụng đồng ý.

8. Bảo mật:

Khi thực hiện thoả thuận này, mỗi bên và/hoặc Người đại diện của họ có thể tiết lộ (gọi chung là “Bên tiết lộ”) Thông tin mật cho bên kia và/hoặc Người đại diện của mình (gọi chung là “Người nhận”).
Người nhận thừa nhận và đồng ý rằng Thông tin bí mật do Người tiết lộ cung cấp sẽ vẫn là tài sản duy nhất và độc quyền của Người tiết lộ. Người nhận sẽ không tiết lộ, sao chép, sử dụng, phân phối hoặc chuyển nhượng, trực tiếp hoặc gián tiếp, dưới bất kỳ hình thức nào, bằng bất kỳ phương tiện nào hoặc cho bất kỳ mục đích nào Thông tin mật do Người tiết lộ cung cấp, trừ khi được quy định rõ ràng theo Thỏa thuận. Việc tiết lộ Thông tin bí mật đó cho Người nhận không trao cho Người nhận bất kỳ giấy phép, quyền lợi hoặc quyền dưới bất kỳ hình thức nào đối với Thông tin bí mật, trừ khi được quy định rõ ràng theo Thỏa thuận. Thông tin Bảo mật sẽ không bao gồm thông tin:
(a) Đang hoặc sẽ được công khai mà không có hành động hoặc thiếu sót nào của Người nhận;
(b) Thuộc quyền sở hữu hợp pháp của Người nhận trước khi tiết lộ và Người nhận không có được thông tin trực tiếp hoặc gián tiếp từ Người tiết lộ;
(c) Được tiết lộ hợp pháp cho Người nhận bởi bên thứ ba mà không hạn chế việc tiết lộ;
(d) Được Người nhận phát triển độc lập mà không sử dụng Thông tin mật của Người tiết lộ. Người tiết lộ sẽ chỉ tiết lộ Thông tin mật khi cần thiết một cách hợp lý để tạo thuận lợi cho mục đích của Thỏa thuận.
Người nhận thừa nhận và đồng ý rằng:
(a) Chỉ sử dụng Thông tin mật liên quan đến Thỏa thuận trừ khi được Người tiết lộ cho phép rõ ràng bằng văn bản;
(b) Thông tin mật sẽ được bảo vệ bằng những nỗ lực không kém nỗ lực sử dụng để bảo vệ thông tin độc quyền của mình và trong mọi trường hợp không kém tiêu chuẩn hợp lý;
(c) Sẽ không thay đổi, xóa, sao chép, chuyển đổi thành dạng có thể đọc được, tạo ra các sản phẩm phái sinh, phân phối, tháo rời, dịch ngược, đảo ngược kỹ thuật, sao chép, dịch hoặc sửa đổi Thông tin mật của Người tiết lộ hoặc bất kỳ bản sao, điều chỉnh, trích xuất, sao chép nào hoặc phần hợp nhất của chúng;
(d) Sẽ chỉ tiết lộ cho các Đại diện của mình khi “cần biết” với điều kiện là Người nhận đảm bảo rằng các Đại diện đó sẽ bị ràng buộc bởi các thỏa thuận không tiết lộ bằng văn bản về cơ bản tương tự như các thỏa thuận được quy định trong Thỏa thuận. Mỗi bên chịu trách nhiệm về việc Người đại diện của mình vi phạm Thỏa thuận này và bên đó đồng ý thực hiện, bằng chi phí của mình, tất cả các biện pháp hợp lý (bao gồm, nhưng không giới hạn, tiến hành tố tụng tại tòa án) để hạn chế Người đại diện của mình tiết lộ thông tin bị cấm hoặc trái phép hoặc sử dụng Thông tin mật của Người tiết lộ. Nếu Người nhận được yêu cầu tiết lộ Thông tin Bí mật theo lệnh tư pháp, trát đòi hầu tòa, lệnh khám xét, yêu cầu quy định, yêu cầu theo luật định hoặc hoạt động khác của pháp luật, trước khi tiết lộ Thông tin Bí mật, Người nhận, nếu được pháp luật cho phép và nếu điều đó thực tế hợp lý trong hoàn cảnh, sẽ cung cấp thông báo bằng văn bản hợp lý cho Người tiết lộ để cho phép Người tiết lộ thực hiện bất kỳ hành động bảo vệ sẵn có nào trước khi tiết lộ như vậy.

9. Sự kiện bất khả kháng:

Không bên nào phải chịu trách nhiệm cho việc không thực hiện hoặc chậm trễ trong việc thực hiện nếu gây ra bởi các điều kiện nằm ngoài tầm kiểm soát hợp lý của bên đó, chẳng hạn như, nhưng không giới hạn ở, chiến tranh, hỏa hoạn, lũ lụt, thiên tai, hạn chế hoặc quy định của chính phủ, sự cố mất điện hoặc viễn thông, thiên tai hoặc hành động khủng bố (mỗi trường hợp là một “Sự Kiện Bất Khả Kháng”). Mỗi bên sẽ nỗ lực hợp lý để khắc phục hậu quả của Sự kiện bất khả kháng. Nếu Sự kiện bất khả kháng đó tiếp diễn trong hơn ba mươi (30) ngày, một trong hai bên có thể hủy toàn bộ hoặc một phần Dịch vụ không được thực hiện. Phần này không bào chữa cho nghĩa vụ thanh toán Dịch vụ của Người Sử Dụng.

10. Giải quyết tranh chấp:

Ngoại trừ quyền của một trong hai bên nộp đơn lên tòa án có thẩm quyền để xin giảm nhẹ tạm thời hoặc biện pháp khắc phục tạm thời khác để ngăn chặn tác hại không thể khắc phục được trong khi chờ quyết định cuối cùng hoặc theo đuổi khiếu nại về vi phạm bất kỳ quyền sở hữu trí tuệ nào, bất kỳ tranh chấp hoặc tranh cãi giữa các bên phát sinh từ hoặc liên quan đến Thỏa thuận (gọi là “Tranh chấp”) sẽ được giải quyết bằng các cuộc đàm phán thiện chí giữa các bên mà các cuộc đàm phán sẽ không chấm dứt cho đến khi Tranh chấp được xem xét bởi một quan chức cấp cao của mỗi bên.

11. Điều khoản khác:

Người Sử Dụng không được chuyển nhượng Thỏa thuận hoặc cung cấp hoặc chuyển giao Dịch vụ hoặc bất kỳ quyền lợi nào đối với Dịch vụ cho cá nhân hoặc tổ chức khác. Các bên là nhà thầu độc lập và mỗi bên đồng ý rằng không có mối quan hệ hợp tác, liên doanh hoặc đại lý nào tồn tại giữa các bên. Việc một trong hai bên không thực thi bất kỳ điều khoản nào của Thỏa thuận sẽ không được coi là từ bỏ việc thực thi điều đó hoặc bất kỳ điều khoản nào khác trong Thỏa thuận trong tương lai. Mỗi bên đồng ý tuân thủ tất cả các luật, quy định và pháp lệnh hiện hành liên quan đến việc thực hiện của mình theo Thỏa thuận. Không có mối quan hệ thụ hưởng bên thứ ba nào được tạo ra bởi Thỏa thuận. Thoả thuận cấu thành toàn bộ, tuyên bố cuối cùng và độc quyền về các điều khoản điều chỉnh giữa các bên liên quan đến chủ đề của nó và thay thế bất kỳ và tất cả các thỏa thuận hoặc sự hiểu biết khác, bằng văn bản hoặc bằng lời nói, liên quan. Bất kỳ điều khoản và điều kiện nào trong đơn đặt hàng của Người Sử Dụng hoặc tài liệu tương tự đều vô hiệu và không có hiệu lực pháp lý bất kể Trade Data Vietnam chấp nhận hoặc xác nhận đơn đặt hàng đó hoặc tài liệu tương tự. Nếu bất kỳ điều khoản nào của Thỏa thuận được coi là không hợp lệ hoặc không thể thi hành, điều khoản đó sẽ bị hủy bỏ và các điều khoản còn lại sẽ được thi hành. Bất kể thỏa thuận nào với bên thứ ba hoặc bất kỳ điều khoản nào của pháp luật, quy định hoặc Thỏa thuận, nếu Người Sử Dụng là cơ quan hoặc tổ chức chính phủ, thì quyền của Người Sử Dụng đối với Dịch vụ sẽ không vượt quá các quyền được cung cấp theo Thỏa thuận.

12. Định nghĩa:

(a) “Công ty liên kết” có nghĩa là bất kỳ công ty nào: (a) được kiểm soát, trực tiếp hoặc gián tiếp, bởi một bên; (b) chịu sự kiểm soát biểu quyết chung, trực tiếp hoặc gián tiếp, với bên đó; hoặc (c) kiểm soát bên đó; tùy từng trường hợp, khi “kiểm soát” có nghĩa là khả năng bỏ phiếu nhiều hơn năm mươi phần trăm (50%) số chứng khoán có quyền biểu quyết đang lưu hành trong công ty đó.
(b) “Thông tin bí mật” có nghĩa là thông tin (bao gồm bất kỳ bản sao, trích đoạn, tóm tắt hoặc điều chỉnh nào của thông tin đó), bất kể hình thức tiết lộ thông tin đó là gì: (a) được đánh dấu rõ ràng là “Bí mật” hoặc “Độc quyền” tại thời điểm tiết lộ hoặc được xác định như vậy trong một bản tóm tắt bằng văn bản được gửi trong vòng mười (10) ngày sau khi tiết lộ; hoặc (b) theo bản chất hoặc theo hoàn cảnh mà nó được tiết lộ, nên được coi là bí mật một cách hợp lý. Các bên đồng ý rằng: (i) tất cả thông tin liên quan đến quy trình kinh doanh, yêu cầu và hệ thống công nghệ thông tin, sản phẩm (bao gồm các tính năng của sản phẩm và bất kỳ thông tin nào được nhúng vào hoặc liên quan đến sản phẩm, công nghệ hoặc dịch vụ của một bên hoặc đến quá trình phát triển, thử nghiệm và khai thác thương mại của chúng), Dịch vụ, kế hoạch bán hàng và tiếp thị, khách hàng, khách hàng tiềm năng, thị trường mục tiêu, giá cả và dữ liệu tài chính sẽ được coi là Thông tin mật của Người tiết lộ; và (ii) các điều khoản của Thỏa thuận sẽ được coi là Thông tin bí mật của Trade Data Vietnam.
(c) “Thông tin xác thực” có nghĩa là mã nhận dạng và mật khẩu cho từng Người dùng riêng lẻ do Trade Data Vietnam cung cấp để truy cập và sử dụng Dịch vụ.
(d) “Cơ sở hạ tầng” có nghĩa là tất cả phần mềm, công nghệ, trang web, nền tảng và bất kỳ bản cập nhật hoặc thay đổi nào đối với những thứ đã nói ở trên được Trade Data Vietnam sở hữu, cấp phép hoặc sử dụng liên quan đến việc phân phối và sử dụng Nội dung.
(e) “Tài liệu” có nghĩa là bất kỳ thông tin, báo cáo, phân tích, thiết kế, thông số kỹ thuật, hướng dẫn, phần mềm, phần cứng hoặc tài liệu khác.
(f) “Đại diện” của một bên có nghĩa là bất kỳ nhân viên, giám đốc hoặc cán bộ nào của một bên và/hoặc Chi nhánh, đại lý, cố vấn hoặc nhà thầu phụ của bên đó.
(g) “Dịch vụ” có nghĩa là Nội dung và Cơ sở hạ tầng.
(h) “Nhãn hiệu” có nghĩa là mọi nhãn hiệu, nhãn hiệu dịch vụ, dịch vụ hoặc tên thương mại, logo và các chỉ định khác của Trade Data Vietnam, nhà phân phối và/hoặc người cấp phép của Trade Data Vietnam được cung cấp cho Người đăng ký liên quan đến Thỏa thuận.
(i) “Người Sử Dụng” có nghĩa là nhân viên, nhà thầu hoặc đại lý được Người đăng ký ủy quyền để truy cập và sử dụng Dịch vụ theo Thỏa thuận

(a) our headquarters, subsidiaries and group companies;

(b) third party service providers which require the processing of your data, for example, third party service providers which have been engaged by us to: (i) to provide and maintain any IT equipment used to store and access your personal information; (ii) to host and maintain our Website; or (iii) otherwise in connection with the provision of certain services provided to you on or via our Website;

(c) our auditors and legal advisors;

(d) public and governmental/regulatory authorities, statutory boards, industry associations; and /or

(e) courts and other alternative dispute forums.

1. General: Subscriber may access and use the Services solely for its internal business operations and in accordance with the Agreement, including the ability for its Users to: (a) view, copy, print and/or download the Content; and (b) create derivative works of or through the use of the Content and make available such derivative works to Users. All Services ordered by Subscriber are provided by Trade Data Vietnam or its licensors and subject to the Agreement, including this Policy.

2. Changes: During the Term, Trade Data Vietnam reserves the right to modify or discontinue the Services, including adding, removing or changing features or functionality, from time to time to reflect changes in, including but not limited to, applicable law, regulations, rules, technology or availability of data. Trade Data Vietnam will notify Subscriber of any material changes to Subscriber’s ability to access or use the Services or discontinuation of any Services.

3. Rights: Trade Data Vietnam hereby grants to Subscriber a revocable, non-exclusive, and non-transferable limited right to use the Services solely for Subscriber’s internal business operations of the Subscriber during the Term, including the ability for Users to: (a) view, copy, print and/or download the Content; and (b) create derivative works of or through the use of the Content and make available such derivative works to Users. As between Trade Data Vietnam and Subscriber, Trade Data Vietnam and its licensors retain all ownership and intellectual property rights in and to the Services, including the Content contained in any derivative works created by Subscriber thereof, and/or anything developed or delivered by or on behalf of Trade Data Vietnam under the Agreement. Nothing contained herein shall be construed as conferring to Subscriber, by implication or otherwise, any intellectual property rights in and to the Services.

4. Limitations and Restrictions on Use: Subscriber shall not, and shall not cause or permit Users or any third parties to, or attempt to: (a) remove or modify any program or service markings, Trademarks or any notice of Trade Data Vietnam’s, its Affiliates’ or licensors’ propriety rights; (b) use Trademarks without Trade Data Vietnam’s prior written consent; (c) modify, disassemble, decompile, reverse engineer, reproduce, republish, copy or make derivative works of any part of the Infrastructure; (d) “frame” or “mirror” any Services provided through the Internet; (e) perform or disclose any benchmarking, vulnerability scanning, password cracking, penetration, availability or performance testing of the Services; (f) use in conjunction with the Services or introduce into the Services any device, software, or routine that could damage or interfere with the proper operation of the Services, including, but not limited to any scraper, robot, spider to access or use the Services; (g) inhibit the operation of the Services, including, but not limited to, denial of service attacks, extensive session lengths or conducting search queries that Trade Data Vietnam, in its sole discretion, reasonably determines to be abusive; (h) develop, support or assist a third party in developing, supporting or assisting with products or services that are competitive to the Services; (i) license, sell, resell, transfer, assign, distribute, outsource, permit timesharing or service bureau use, commercially exploit or otherwise make available the Services to a third party, including any materials generated by the Services; or (j) access or use the Services in a manner intended to: (I) harass or cause damage or injury to any person or property; (II) violate a third party’s privacy, contractual or property rights; (III) violate applicable laws, ordinances or regulations; (IV) access or use the Services for any purpose other than as expressly permitted by the Agreement.

5. Disclaimers: Trade Data Vietnam cannot guarantee the availability, provision, quality, accuracy, integrity or reliability of the services and such services are provided “as is”. Trade Data Vietnam does not warrant that the services will be error-free or uninterrupted or that the services will meet subscriber’s expectations or requirements. Except to the extent prohibited by law, Trade Data Vietnam, its affiliates and licensors disclaim all warranties, including any implied warranties or conditions of merchantability, satisfactory quality, title, non-infringement, fitness for a particular purpose, or warranties arising out of any course of dealing or usage of trade.

6. Limitation of Liability: Under no circumstances shall Trade Data Vietnam, its affiliates and/or licensors be liable to subscriber or any other party for indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of revenue, profits, sales, data, data use, goodwill or reputation (even if such damages are foreseeable or where Trade Data Vietnam has been advised or has knowledge of the possibility of such damages). Further, Trade Data Vietnam, its affiliates and/or licensors will not be responsible for any compensation, reimbursement or damages arising in connection with: (a) subscriber’s inability to use or access the services as a result of: (i) suspension or termination of the agreement; (ii) subscriber’s decision not to use the services; (iii) Trade Data Vietnam’s discontinuation of any or all of the services; or (iv) a force majeure event; (b) the cost of procurement of subsitute goods or services; (c) any investments, expenditures or commitments by subscriber in connection with the agreement. Under no circumstances shall the aggregate liability of Trade Data Vietnam, its affiliates and/or licensors arising out of or in relation to the agreement, whether in contract, tort or otherwise, exceed the total amounts actually paid by subscriber for the services under the agreement giving rise to the liability during the twelve (12) months immediately preceding the event giving rise to such liability.

7. Indemnification: If a third party makes a claim against Trade Data Vietnam arising out of or in connection with: (a) any breach of the Agreement or violation of applicable law by Subscriber or any User; (b) any Materials furnished by Subscriber or any User, whether generally or in conjunction with the Services; or (c) any dispute between Subscriber or any User, Subscriber, at the Subscriber’s sole cost and expense, will defend Trade Data Vietnam against the claim and indemnify Trade Data Vietnam and its employees, officers and directors for any damages, liabilities, costs and expenses (including any reasonable attorney’s fees) awarded by a court to the third party claimant or settlement agreed to by Subscriber.

8. Confidentiality: In the performance of this Agreement, each party and/or its Representative may disclose (collectively, the “Discloser”) Confidential Information to the other party and/or its Representative (collectively, the “Receiver”). Receiver acknowledges and agrees that the Confidential Information provided by Discloser shall remain the sole and exclusive property of Discloser. Receiver shall not disclose, reproduce, use, distribute, or transfer, directly or indirectly, in any form, by any means, or for any purpose, the Confidential Information provided by Discloser, except as expressly provided under the Agreement. The disclosure of such Confidential Information to Receiver does not confer upon Receiver any license, interest, or rights of any kind in or to the Confidential Information, except as expressly provided under the Agreement. Confidential Information shall not include information that: (a) is or becomes publicly available through no act or omission of the Receiver; (b) was in the Receiver’s lawful possession prior to the disclosure and had not been obtained by the Receiver either directly or indirectly from the Discloser; (c) is lawfully disclosed to the Receiver by a third party without restriction on the disclosure; or (d) is independently developed by the Receiver without the use of the Discloser’s Confidential Information. The Discloser shall disclose only such Confidential Information as is reasonably necessary to the facilitate the purpose of the Agreement. The Receiver acknowledges and agrees that: (i) it will use the Confidential Information solely in connection with the Agreement unless otherwise expressly authorized in writing by the Discloser; (ii) it will protect the Confidential Information using efforts no less protective than those it uses to protect its own proprietary information and in no event less protective than a reasonable standard; (iii) it will not alter, deface, copy, convert into human readable form, create derivative works, distribute, disassemble, decompile, reverse engineer, reproduce, translate or otherwise modify the Discloser’s Confidential Information or any copy, adaptation, extract, transcription or merged portion thereof; and (iv) will only disclose to its Representatives with a “need to know” provided that the Receiver ensures that such Representatives will be bound by written non-disclosure agreements substantially similar to those set forth in the Agreement. Each party is responsible for a breach of this Agreement by its Representatives and the party agrees to take, at its sole expense, all reasonable measures (including, but not limited to, instituting court proceedings) to restrain its Representatives from prohibited or unauthorized disclosure or use of Discloser’s Confidential Information. If the Receiver is required to disclose Confidential Information pursuant to a judicial order, subpoena, search warrant, regulatory requirement, statutory requirement or other operation of law, prior to disclosing Confidential Information, the Receiver, if permitted by law and if its reasonably practical in the circumstances, will provide reasonable written notice to the Discloser in order to allow the Discloser to take any available protective action prior to such disclosure.

9. Force Majeure: Neither party shall be responsible for a failure or delay in performance if caused by conditions beyond its reasonable control such as, but not limited to, an act of war, fires, floods, acts of God, governmental or regulatory restrictions, power or telecommunication outages or failures, natural disasters, or acts of terrorism (each a “Force Majeure Event”). Each party will use reasonable efforts to cure the effect of a Force Majeure Event. If such Force Majeure Event continues for more than thirty (30) days, either party may cancel any unperformed Services, in whole or in part. This Section does not excuse Subscriber’s obligation to pay for the Services.

10. Dispute Resolution: Except for the right of either party to apply to a court of competent jurisdiction for interim or interlocutory relief or other provisional remedy to prevent irreparable harm pending final determination or to pursue a claim for infringement of any intellectual property right, any dispute or controversy between the parties arising out of or relating to the Agreement (each, a “Dispute”) shall be resolved by good faith negotiations between the parties which negotiations shall not terminate until the Dispute has been considered by a senior officer of each party.

11. Miscellaneous: Subscriber may not assign the Agreement or give or transfer the Services, or any interest in the Services, to another individual or entity. The parties are independent contractors and each party agrees that no partnership, joint venture or agency relationship exists between the parties. Failure by either party to enforce any provision of the Agreement shall not be deemed a waiver of future enforcement of that or any other provision in the Agreement. Each party agrees to comply with all applicable laws, regulations, and ordinances relating to its performance under the Agreement. No third party beneficiary relationships are created by the Agreement. The Agreement constitutes the complete, final and exclusive statement of the governing provisions between the parties with respect to its subject matter and supersede any and all other agreements or understandings, written or oral, with respect thereto. Any terms and conditions in Subscriber’s purchase order or similar document are void and have no legal effect notwithstanding Trade Data Vietnam’s acceptance or acknowledgement of such order or similar document. If any provision of the Agreement is held to be invalid or unenforceable, that provision will be struck and the remaining provisions shall be enforced. Notwithstanding any agreement with a third party or any provision of law, regulation or Agreement, if Subscriber is an agency of or a government organization, then Subscriber’s rights in respect of the Services shall not exceed the rights provided under the Agreement. Unless expressly noted otherwise, the Agreement shall not be modified or amended or any term within the Agreement waived except as mutually agreed by Trade Data Vietnam and Subscriber in writing.

12. Definitions:
Affiliate” means any corporation that: (a) is controlled, either directly or indirectly, by a party; (b) is under common voting control, either directly or indirectly, with the party; or (c) that controls the party; as the case may be, where “control” means the ability to vote greater than fifty percent (50%) of the outstanding voting securities in such corporation.

“Confidential Information” means information (including any copies, extracts, summaries or adaptations of such information), regardless of the form of its disclosure, that is either: (a) clearly marked as “Confidential” or “Proprietary” at the time of disclosure or identified as such in a written summary delivered within ten (10) days following the disclosure; or (b) that by its nature or by the circumstances in which it is disclosed, ought reasonably be considered to be confidential. The parties agree that: (i) all information relating to business processes, information technology systems and requirements, products (including product features and any information that is embedded in or related to a party’s product, technology or services or to the development, testing and commercial exploitation thereof), the Services, sales and marketing plans, customers, prospective customers, target markets, pricing and financial data shall be deemed to be Confidential Information of the Discloser; and (ii) the terms of the Agreement shall be deemed to be Confidential Information of Trade Data Vietnam.

“Credentials” means an identification code and a password for each individual User provided by Trade Data Vietnam to access and use the Services.

“Infrastructure” means all software, technology, websites, platform and any updates or changes to the foregoing owned, licensed or utilized by Trade Data Vietnam in connection with the delivery and use of the Content. “Materials” means any information, report, analysis, design, specification, instruction, software, hardware or other material.

“Representative” of a party shall mean any employees, directors or officers of a party and/or its Affiliate, agent, advisors or subcontractors.

“Services” means the Content and the Infrastructure.

“Trademarks” means any trademarks, service marks, service or trade names, logos and other designations of Trade Data Vietnam, its Affiliates and/or licensors that are made available to Subscriber in connection with the Agreement.

“User” means an employee, contractor or agent authorized by Subscriber to access and use the Services in accordance with the Agreement.
